Terms of Use

These Terms of Use (hereinafter referred to as "Terms") govern your access to and use of the Lingible mobile application (the "App"), services, and features provided by Lingible (hereinafter referred to as "we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

1.1 Agreement to Terms

By accessing or using the Lingible App, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Lingible.

1.2 Age Requirement

You must be at least 13 years of age to use the App. If you are between 13 and 18 years of age, you must have permission from a parent or legal guardian to use the App. By using the App, you represent and warrant that you meet these age requirements.

1.3 Changes to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting the updated Terms in the App or on our website. Your continued use of the App after such changes constitutes your acceptance of the new Terms.

2. License and Access

2.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial use.

2.2 License Restrictions

You agree not to, and will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the App
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the App
• Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of Lingible or its affiliates, partners, suppliers or the licensors of the App
• Use the App to violate any applicable laws or regulations
• Use the App in any manner that could damage, disable, overburden, or impair our servers or networks

3. Services Description

The Lingible App provides language learning and reading enhancement services, including but not limited to:

• Reading e-books with parallel translation
• Word and phrase translation services
• Vocabulary saving and management
• Learning tools and exercises for saved vocabulary
• Upload and management of personal e-book files in supported formats (.txt, .epub, .fb2, etc.)
• Progress tracking and statistics
• Cloud synchronization (if enabled)

We reserve the right to modify, suspend, or discontinue any part of the services at any time with or without notice.

4. User Accounts

4.1 Account Creation

Some features of the App may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in any fraudulent, abusive, or illegal activity.

5. Subscriptions and Payments

5.1 Subscription Plans

Lingible offers both free and paid subscription plans. Paid subscriptions provide access to premium features and content. Subscription plans, pricing, and available features may vary and are subject to change.

5.2 Payment Terms

All subscription fees are charged in advance on a recurring basis (monthly, yearly, or as otherwise indicated). Payment will be charged to your Apple App Store or Google Play Store account at the time of purchase confirmation.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You can manage your subscription and turn off auto-renewal by going to your device's account settings after purchase.

5.4 Free Trials

We may offer free trial periods for certain subscription plans. If you do not cancel before the end of the free trial period, you will be automatically charged the subscription fee for the next billing cycle. Free trial offers may be limited to one per user and cannot be combined with other promotional offers.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your device's account settings. Cancellation will take effect at the end of the current billing period. Refunds are handled in accordance with the Apple App Store or Google Play Store refund policies. Generally, we do not provide refunds for partial subscription periods or unused portions of your subscription.

5.6 Price Changes

We reserve the right to change our subscription fees at any time. We will provide you with advance notice of any price changes. If you do not agree to the price change, you may cancel your subscription before the change takes effect.

6. User Content and Conduct

6.1 User-Uploaded Content

The App allows you to upload and store your own e-book files and other content. You retain all ownership rights to your content. By uploading content to the App, you represent and warrant that:

• You own or have the legal right to use and upload the content
• Your content does not violate any third-party rights, including copyright, trademark, privacy, or other personal or proprietary rights
• Your content does not contain any illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material

6.2 Copyright Compliance

We respect the intellectual property rights of others and expect our users to do the same. You are solely responsible for ensuring that any books or materials you upload to the App do not infringe on any copyright or other intellectual property rights. We do not monitor or review user-uploaded content and are not liable for any copyright infringement committed by users.

6.3 Prohibited Conduct

You agree not to:

• Upload or share content that infringes on any copyright, trademark, or other intellectual property rights
• Use the App for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the App or any other systems or networks connected to the App
• Interfere with or disrupt the App or servers or networks connected to the App
• Collect or store personal data about other users without their consent
• Use any automated system or software to extract data from the App

6.4 Content Removal

We reserve the right to remove any content that violates these Terms or that we find objectionable at our sole discretion, without prior notice.

7. Intellectual Property Rights

7.1 Ownership

The App, including all software, text, images, graphics, user interface, visual interface, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), is owned or licensed by Lingible and is protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks

The Lingible name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Lingible or its affiliates or licensors. You may not use such marks without our prior written permission.

7.3 Limited License

These Terms grant you only a limited license to access and use the App. No ownership rights are transferred to you. All rights not expressly granted herein are reserved by Lingible.

8. Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the App, you consent to our collection and use of your information as described in the Privacy Policy. Please review our Privacy Policy at Privacy Policy.

9. Third-Party Services and Content

9.1 Third-Party Services

The App may contain links to third-party websites or services, including translation services, payment processors, and analytics providers. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk.

Any third-party content or services accessible through the App are the responsibility of the respective third parties. We do not endorse or assume any responsibility for any such third-party content or services.

10. Disclaimers and Warranties

10.1 "As Is" Basis

THE APP AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10.2 No Guarantee of Accuracy

We do not warrant that the translations, definitions, or other content provided through the App will be accurate, complete, or error-free. Language learning results may vary, and we make no guarantees regarding the effectiveness of our services.

10.3 Service Availability

We do not warrant that the App will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the App or any part thereof at any time without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LINGIBLE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE APP EXCEED THE AMOUNT YOU PAID TO US FOR ACCESS TO THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Lingible, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the App
• Your violation of any rights of another party, including any copyright infringement
• Any content you upload to the App

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Lingible operates, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration or the courts, as determined by applicable law.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lingible regarding the use of the App and supersede all prior or contemporaneous understandings and agreements.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
